Uralkali Board Decisions

Uralkali (the Company; MICEX: URKA), one of the world’s largest potash producers, announces the key decisions taken by its Board of Directors at a meeting on 20 April 2016:

  • Uralkalis Board of Directors approved the Companys 2015 Integrated Annual Report to be published in English with the preliminary approval of the 2015 Integrated Annual Report to be published in Russian
  • the Board has resolved to convene the Companys Annual General Meeting of Shareholders (“AGM”) in Berezniki (Perm Territory) on 17 June 2016 and to approve AGMs agenda; shareholders registered as at the record date of 11 May 2016 will be eligible to participate and vote at the meeting
  • the Board has recommended to AGM not to pay dividends for 2015
  • the Board resolved to propose to the AGM ZAO Deloitte & Touche CIS as auditor of Uralkalis consolidated financial statements prepared in accordance with IFRS and ZAO Energy Consulting/Audit as auditor of financial statements prepared under Russian Accounting Standards
  • the Board approved the amendment to the Companys consolidated budget for 2016
  • the Board approved the termination of appointment of Nadezhda Kiryanova as member of Uralkalis Management Board, the appointment of Vladimir Vershinin as Procurement Director of Uralkali and member of the Management Board, effective from 21 April 2016
  • the Board approved the appointment of Anton Bazulev as Head of Government Relations

The Companys assets consist of 5 mines and 7 ore-treatment mills situated in the towns of Berezniki and Solikamsk (Perm Territory, Russia).
