Remuneration payable to members of the Management Board of PJSC Uralkali in 2019

The remuneration policy for members ofthe Management Board ofUralkali consists oftwo parts amonthly salary paid under the relevant employment contract, and anannual bonus. Bonus payments are logged and guided bythe Regulations onSalary and Bonuses ofTop Managers. The bonus amount isdetermined against key performance indicators (KPIs), and specifically reflects the relevant managers contribution towards the achievement ofthe Companys strategic and operational goals. The KPIs for top management may include, among other items, the achievement ofspecific sustainable development targets set bythe Company.

The Company implements apractice whereby the variable portion ofremuneration may bepartially orfully withheld, ifcertain KPIs have not been achieved. Internal documents and the performance scorecards oftop managers are used asthe basis for calculating the overall score. Additionally, deductions are applied inthe event ofspecific negative incidents orproven violations.

Members ofthe Management Board receive noadditional remuneration for serving onthe Board.

The Company does not currently have along-term incentive program inplace and accordingly, the Companys top management does not receive any additional remuneration.
