Remuneration of the Management Board in 2019

The remuneration policy for members of the Management Board of Uralkali consists of two parts — a monthly salary paid under the relevant employment contract, and an annual bonus. Bonus payments are logged and guided by the “Regulations on Salary and Bonuses of Top Managers”. The bonus amount is determined against key performance indicators (KPIs), and specifically reflects the relevant manager’s contribution towards the achievement of the Company’s strategic and operational goals. The KPIs for top management may include, among other items, the achievement of specific sustainable development targets set by the Company.

The Company implements a practice whereby the variable portion of remuneration may be partially or fully withheld, if certain KPIs have not been achieved. Internal documents and the performance scorecards of top managers are used as the basis for calculating the overall score. Additionally, deductions are applied in the event of specific negative incidents or proven violations.

Members of the Management Board receive no additional remuneration for serving on the Board.

The Company does not currently have a long-term incentive program in place and accordingly, the Company’s top management does not receive any additional remuneration.

Smoking in mines is prohibited.
Work at heights without wearing a safety harness is prohibited.
Work in electrical installations under voltage is prohibited.
It is forbidden to perform work and stay in the bottomhole zone during the operation of the mining machine.
Loading and unloading operations when people are in the danger zone are prohibited.
Working in underground mines with unsecured and/or unassembled roofing is prohibited.
It is forbidden to carry out repairs and maintenance of conveyors without disconnecting from energy sources, use of conveyors for transfer of people and goods (materials and/or equipment), crossing (either above or under) operating conveyors by employees are not allowed.
It is forbidden to carry out welding and flame work in underground mines and mine buildings without the necessary safety measures preventing fire.
