Uralkali's AGM Approves Dividend Payment

On 4 June 2013, Uralkali (LSE: URKA; the Company), one of the world’s largest potash producers, held its Annual General Meeting (AGM) in the town of Berezniki (Perm region, Russia).

Uralkali’s shareholders approved a dividend payment for 2012 of RUB 3.90 per share and about USD 0.61 per GDR1. Total dividend payment for 2012 including interim dividend will amount to RUB 25.3 billion (ca.USD 789 million1).

Uralkali AGM also elected its Board of Directors. Four independent non-executive directors re-joined the Board, including Alexander Voloshin, Sir Robert Margetts, Paul Ostling and Gordon Sage. The new Board also includes Anton Averin, Anna Kolonchina, Alexander Malakh, Vladislav Mamulkin, and CEO Vladislav Baumgertner.

The AGM approved the Company’s 2012 Integrated Annual Report and financial statements. In addition, PricewaterhouseCoopers were approved as auditor of Uralkali’s 2013 IFRS statements and BAT-Audit as auditor of Uralkali’s 2013 Russian GAAP statements. The AGM also elected the Internal Audit Commission and approved the new edition of Uralkali’s Charter and a number of other documents regulating the activities of the Company’s bodies.

Uralkali (www.uralkali.com/) is one of the world’s largest potash producers with a market share of about 20%. The Company’s assets consist of 5 mines and 7 ore-treatment mills situated in the towns of Berezniki and Solikamsk (Perm Territory, Russia). Uralkali employs ca. 11,800 people (in the main production unit). Uralkali’s shares and GDRs are traded on the RTS-MICEX and LSE, respectively.

Smoking in mines is prohibited.
Work at heights without wearing a safety harness is prohibited.
Work in electrical installations under voltage is prohibited.
It is forbidden to perform work and stay in the bottomhole zone during the operation of the mining machine.
Loading and unloading operations when people are in the danger zone are prohibited.
Working in underground mines with unsecured and/or unassembled roofing is prohibited.
It is forbidden to carry out repairs and maintenance of conveyors without disconnecting from energy sources, use of conveyors for transfer of people and goods (materials and/or equipment), crossing (either above or under) operating conveyors by employees are not allowed.
It is forbidden to carry out welding and flame work in underground mines and mine buildings without the necessary safety measures preventing fire.
